HGA’s foundational experience is in project finance. We have been project principals/developers, equity investors, and lenders to limited recourse infrastructure assets. We have supported greenfield developments and both buy-side and sell-side advisory engagements. We have experience working for lenders, conducting due diligence and structuring financial documents, to arrive at robust terms.
Work experience covers modeling, finance plan development, term sheets, bid development, project contract development, financial documentation, and negotiations around all of these. HGA has also supported governments, their agencies, and state utilities in structuring and managing their P3 projects.
Commercial | Financial Advisory
Financial advisor to the successful bidding consortium of Electricité de France, Sumitomo, and Tokyo Electric Power on Viet Nam’s first private sector BOT infrastructure project. Helped to develop the client’s winning bid for this US$480,000,000 project, leading modeling efforts across technical, financial and commercial components. Analyzed tariff options, investment econo
mics, and modeled sensitivities to changes in market and negotiation positions. Created debt financing options from an optimal amalgam of 3 multilaterals, 5 export credit agencies, 3 bilateral agencies and multiple commercial lenders.
Advised Indonesian utility PT PLN Batam on a US$150,000,000 limited recourse project financing. This was the first project finance transaction pursued in Indonesia since the restructuring of projects post-Asian financial crisis.
Served as lead negotiator counter to Chinese equipment suppliers, Sinosure (Chinese export credit insurance agency) and commercial bank ICBC. Developed comprehensive project finance and corporate financial models. Advised parent, PT PLN (Persero), on development of new project loan security structures. Performed project valuation in support of sell-down in equity. Evaluated competitively tendered EPC bids.
Served as commercial finance team leader to help India’s national transmission company realize its first long-term, foreign currency, commercial-term borrowing. Consulted with the company’s management, Ministry of Power, and Ministry of Finance, to help guide Powergrid on a course to eliminate sovereign guaranteed financial support.
Led the design, structuring, due diligence, and negotiation of the loan and delivered capacity development to help acclimate the client to the principles of commercial borrowing. Client integrated this product into its regular corporate finance strategy.
While with ANZ Investment Bank, served as lead debt arranger and in the coordinating bank role for ABB Energy Venture’s proposed US$1.2 billion project. Served as project documentation agent for seven-bank commercial debt lead arranger group plus Hermes/KfW (Germany). Structured project contracts, reviewed government support, and led negotiations with Chinese and foreign parties. Led negotiations on a US$900 million EPC contract. Acted as bank agent for fuel supply, power market and land rights issues. Developed and negotiated comprehensive lenders’ term sheet.
